About These Terms

These Terms of Service ("Terms") govern your access to and use of Chiklu.ai (the "Service"), operated by Lacchi Labs LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. Chiklu.ai is an online marketplace that helps people buy, sell, and find management services for hotels and motels. The Service connects buyers, sellers, brokers, and property managers, but Lacchi Labs LLC is not a party to any transaction between users and does not act as a broker, dealer, agent, or fiduciary for any user.

Eligibility and Accounts

You must be at least 18 years old and authorized to conduct business in your jurisdiction to use the Service. You may need to create an account to access certain features. You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You are responsible for all activity that occurs under your account.

No Professional Advice; Independent Due Diligence

The Service — including any listings, valuations, calculators, estimates, profiles, or other content — is provided for general informational purposes only and does not constitute legal, financial, tax, accounting, investment, brokerage, or other professional advice. Lacchi Labs LLC is not a real estate broker, business broker, dealer, investment adviser, or agent, and nothing on the Service creates any such relationship. You are solely responsible for independently verifying all information and for conducting your own due diligence before entering into any transaction or business relationship. We strongly recommend that you consult your own qualified legal, financial, and tax advisors.

Acceptable Use

You agree not to use the Service to:

• Post false, misleading, or fraudulent information about yourself, your credentials, or any property or business.
• Scrape, harvest, or systematically collect data from the Service without our written permission.
• Circumvent or attempt to circumvent any access controls, subscription requirements, or contractual processes such as non-disclosure agreements.
• Violate any applicable law or regulation, including fair housing, anti-discrimination, securities, and consumer-protection laws.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its systems, or other users' accounts.
• Submit, post, or upload any listing, data, image, or other content that you copied, scraped, or otherwise obtained from a third-party website or service — including other listing, brokerage, or marketplace platforms — without the legal right to do so.

Fees and Paid Features

The Service is currently provided free of charge. We may introduce paid features or subscriptions in the future. If we do, we will present the applicable pricing and payment terms to you before you incur any charge, and any subscription you purchase will be governed by those terms and processed by a third-party payment provider such as Stripe. Except where required by law, fees are non-refundable, including for partial billing periods.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, LACCHI LABS LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE MAKE NO WARRANTY THAT THE SERVICE, OR ANY INFORMATION OBTAINED THROUGH IT, IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE.

Assumption of Risk

You understand and agree that any interaction or transaction you enter into with another user — including any purchase, sale, listing, engagement of management services, or sharing of confidential information — is solely between you and that user, and that you participate at your own risk. Lacchi Labs LLC has no control over and is not responsible for the conduct, performance, solvency, or representations of any user; the condition, legality, or value of any property or business; or the completion of any transaction.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LACCHI LABS LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Lacchi Labs LLC and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your content or submissions, your violation of these Terms, or your violation of any law or the rights of any third party.

Intellectual Property

The Service, including its software, design, text, graphics, and logos, is owned by Lacchi Labs LLC or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of the content you submit, but you grant us a worldwide, royalty-free license to host, display, and use that content as necessary to operate and promote the Service. You represent and warrant that you own or have all necessary rights to the content you submit and that it does not infringe, misappropriate, or violate the rights of any third party — including any data, listings, or images sourced from other websites or services.

Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, and dispute-resolution terms — will survive.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration administered in California, rather than in court, except that either party may bring an individual claim in small-claims court. YOU AND LACCHI LABS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION. TO THE EXTENT PERMITTED BY LAW, YOU AND LACCHI LABS LLC WAIVE ANY RIGHT TO A JURY TRIAL.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
